Terms of Service

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs under your account and for ensuring that your use of the Service complies with applicable law.

Ormedo provides software and workflow tools intended to support go-to-market research, prospecting, and outbound execution. We may change, update, suspend, or discontinue all or part of the Service at any time.

You agree not to:

• ·use the Service in violation of applicable law or regulation
• ·interfere with the security, integrity, or operation of the Service
• ·attempt to gain unauthorized access to accounts, systems, or data
• ·upload or transmit malicious code, spam, deceptive content, or infringing material
• ·use the Service to violate privacy, intellectual property, or other rights of any person or entity

You retain ownership of the content, data, files, prompts, and other materials you submit to the Service (“User Content”). You grant Ormedo a non-exclusive, worldwide, limited license to host, use, process, reproduce, and transmit User Content solely as necessary to operate, provide, secure, and improve the Service.

The Service may interoperate with third-party products or services, including email providers, data vendors, payment processors, and infrastructure platforms. We are not responsible for third-party services, and your use of them may be governed by separate terms.

Certain features may require payment. If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges. Subscription fees may recur unless canceled in accordance with the applicable billing terms. Payment processing is handled by third-party processors such as Stripe.

The Service, including its software, design, branding, text, graphics, and other content, is owned by Ormedo or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

If you provide suggestions, ideas, or feedback regarding the Service, you grant Ormedo a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and exploit that feedback without restriction or obligation to you.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Ormedo does not warrant that the Service will be uninterrupted, error-free, or secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORMEDO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORMEDO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO ORMEDO FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Ormedo and its officers, directors, employees, affiliates, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk for the Service or other users, or if we are required to do so by law. You may stop using the Service at any time.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Service after updated Terms become effective means the updated Terms will apply going forward.
